End User License Agreement (EULA)

1. Introduction and Acceptance

This End User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and Game Unity LLC ("Game Unity," "we," "us," or "our") governing your use of:

• The Pitch Dynamics mobile application ("App")
• Pitch Dynamics Watch (PDW) device ("Device")
• Associated web services, cloud features, and support resources
• All related documentation and materials

By downloading, installing, activating, or using any Pitch Dynamics product or service, you acknowledge that you have read, understood, and agree to be bound by this EULA. If you do not agree to these terms, do not use our products or services.

2. Definitions

• "Coach" means a user with administrative privileges who manages teams, players, and game communications through the App
• "Player" means a user who receives game signals via the PDW device
• "Team" means a group of players organized under one or more coaches
• "Subscription" means the recurring payment plan associated with your account
• "Content" means any data, signals, communications, or information transmitted through our services

3. License Grant

3.1 Limited License

Subject to your compliance with this EULA, Game Unity grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on compatible devices you own or control
• Use the PDW device for its intended purpose of receiving game communications
• Access cloud services associated with your subscription tier

3.2 License Restrictions

You may NOT:

• Copy, modify, or distribute the App or its source code
• Reverse engineer, decompile, or disassemble any Pitch Dynamics software
• Remove or alter any proprietary notices or labels
• Use the products for any unlawful purpose
• Rent, lease, or lend your access to third parties
• Use automated systems to access our services without permission
• Attempt to bypass any security measures or access controls

4. User Accounts and Registration

4.1 Account Creation

To use Pitch Dynamics services, you must:

• Create an account with accurate and complete information
• Be at least 18 years of age (or have parental/guardian consent)
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized account access

4.2 Account Responsibilities

You are responsible for all activities that occur under your account. Coaches are additionally responsible for:

• Managing team member access appropriately
• Ensuring players understand proper device usage
• Obtaining necessary consents for minor players

5. Subscription and Payments

5.1 Subscription Tiers

Game Unity offers various subscription tiers with different features and team size limits. Current pricing and features are available at pitchdynamics.app/pricing.

5.2 Billing

• Subscriptions are billed in advance on a recurring basis (monthly or annually)
• Payment is processed through Stripe, our third-party payment processor
• You authorize us to charge your payment method for all applicable fees
• Prices are subject to change with 30 days' notice

5.3 Cancellation

• You may cancel your subscription at any time through the App or website
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial billing periods
• Upon cancellation, you retain access until the end of your paid period

5.4 Refund Policy

• Software subscriptions are generally non-refundable
• Hardware (PDW devices) may be returned within 30 days if unused and in original packaging
• Defective devices will be replaced or refunded per our warranty terms

6. PDW Device Terms

6.1 Device Ownership

Upon purchase, you own the physical PDW device. However, the embedded software remains licensed, not sold, under this EULA.

6.2 Device Use

• The PDW is designed for receiving game communications during baseball activities
• Use the device only as intended and described in documentation
• Do not attempt to modify, repair, or tamper with the device
• Keep firmware updated for optimal performance and security

6.3 Limited Warranty

Game Unity warrants the PDW device against defects in materials and workmanship for one (1) year from the date of purchase. This warranty does not cover:

• Damage from misuse, accidents, or unauthorized modifications
• Normal wear and tear
• Water damage beyond rated specifications
• Battery degradation from normal use

7. Bluetooth and Connectivity

7.1 Bluetooth Requirements

The PDW device communicates with the App via Bluetooth Low Energy (BLE). You acknowledge that:

• Bluetooth range and reliability may vary based on environmental factors
• Other wireless devices may cause interference
• You are responsible for ensuring your mobile device has Bluetooth enabled

7.2 Connection Limitations

We do not guarantee uninterrupted connectivity. Factors affecting connection include:

• Distance between devices
• Physical obstructions
• Electromagnetic interference
• Device battery levels

8. Data and Privacy

8.1 Data Collection

Our collection and use of personal data is governed by our Privacy Policy, available at pitchdynamics.app/privacy. By using our services, you consent to such data practices.

8.2 Game Data

• Game signals and communications are transmitted in real-time and not stored on our servers
• Statistical data may be collected and stored per your privacy settings
• You retain ownership of your team's game data

8.3 Data Security

We implement reasonable security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

9. Acceptable Use

9.1 Permitted Use

You may use Pitch Dynamics products for:

• Legitimate baseball coaching and communication
• Team management and organization
• Personal statistical tracking

9.2 Prohibited Conduct

You may NOT use our products to:

• Violate any laws or regulations
• Violate rules of any league, organization, or governing body
• Harass, abuse, or harm others
• Transmit malicious content or interfere with our services
• Impersonate others or misrepresent your affiliation
• Gain unauthorized access to any systems or data

9.3 League Compliance

10. Intellectual Property

10.1 Ownership

Game Unity retains all rights, title, and interest in:

• The App, including all software, code, and interfaces
• PDW device firmware and embedded software
• Trademarks, logos, and brand elements
• Documentation, training materials, and support content
• Any improvements or modifications to the above

10.2 Feedback

If you provide suggestions, ideas, or feedback about our products, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without obligation to you.

11. Third-Party Services

Our products may integrate with third-party services, including:

• Stripe (payment processing)
• Firebase (authentication and data services)
• Apple App Store / Google Play Store (app distribution)

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their practices.

12. Updates and Modifications

12.1 Software Updates

We may release updates to the App or PDW firmware to add features, fix bugs, or address security issues. Some updates may be required for continued use.

12.2 Service Changes

We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice. We will provide at least 30 days' notice for material changes affecting paid features.

12.3 EULA Modifications

We may update this EULA from time to time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance of the modified terms.

13. Disclaimer of Warranties

We do not warrant that:

• Services will be uninterrupted, timely, secure, or error-free
• Results from using our products will be accurate or reliable
• Any errors will be corrected
• Products will meet your specific requirements

14. Limitation of Liability

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THIS EULA OR YOUR USE OF OUR PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow limitation of liability for certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless Game Unity, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our products or services
• Your violation of this EULA
• Your violation of any law or third-party rights
• Any content you transmit through our services

16. Term and Termination

16.1 Term

This EULA is effective until terminated by you or Game Unity.

16.2 Termination by You

You may terminate this EULA by ceasing all use of our products and canceling your subscription.

16.3 Termination by Us

We may terminate or suspend your access immediately, without prior notice, if you:

• Violate any provision of this EULA
• Engage in fraudulent or illegal activity
• Fail to pay applicable fees
• Pose a security risk to our services or other users

16.4 Effect of Termination

Upon termination:

• Your license to use our products ends immediately
• You must cease all use of the App and services
• We may delete your account data after a reasonable retention period
• Provisions that by nature should survive will remain in effect

17. Dispute Resolution

17.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at support@pitchdynamics.app to attempt informal resolution. Most concerns can be resolved quickly through direct communication.

17.2 Binding Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration will be conducted in Illinois, and the arbitrator's decision will be binding and enforceable in any court.

17.3 Class Action Waiver

You agree to resolve disputes only on an individual basis and waive any right to participate in class actions or class arbitration.

17.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to services.

18. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles. Any legal action must be brought in the courts located in Will County, Illinois.

19. Export Compliance

You agree to comply with all applicable export laws and regulations. You may not export or re-export our products to prohibited countries or individuals.

20. Children's Privacy

Our services are not directed to children under 13. Players under 18 must have parental or guardian consent to use PDW devices. Coaches are responsible for obtaining necessary consents for minor players on their teams.

21. Severability and Waiver

21.1 Severability

If any provision of this EULA is found unenforceable, the remaining provisions will continue in full effect.

21.2 Waiver

Our failure to enforce any provision does not constitute a waiver of our right to enforce it later.
